A less charitable interpretation would be that Groupon has to keep the money longer because it needs cash to keep paying the bills. At the end of December, Groupon owed more than $US 520 million to merchants. Because of its IPO revenues, Groupon had more than enough money to pay off all of its business commitments. This Agreement constitutes the entire agreement between the Parties with respect to their subject matter and supersedes any prior or simultaneous oral or written agreements on such subject matter.
